Comprehensive Terms of Service

1. Explicit Nature of Business & Service Description

DigitalGo is a professional, registered Digital Marketing Agency operating from Gaya, Bihar, India. We specialize exclusively in providing legitimate B2B and B2C marketing services to help businesses grow online. Our core offerings include:

• Google Ads Management: Setup, optimization, and scaling of Search, Display, and Performance Max campaigns.
• Meta Ads (Facebook & Instagram): Strategic ad creation, audience targeting, and lead generation campaigns.
• Search Engine Optimization (SEO): On-page, off-page, and technical SEO to improve organic search rankings.
• Conversion Rate Optimization: Landing page design and A/B testing to improve lead capture rates.

DigitalGo strictly provides professional digital marketing services. We only work with legitimate businesses and adhere to all Google Ads and Meta Ads platform policies.

2. Client Onboarding & Communication Protocol

• Primary Channel: We utilize WhatsApp (+91 855 549 7650) as our primary communication channel for rapid consultations, sharing reports, and quick approvals.
• Client Responsibility: The client must provide accurate business information, high-resolution existing assets (logos, images), and timely feedback to ensure campaign launch deadlines are met.
• Discovery Phase: All projects begin with a comprehensive audit and discovery phase where we outline the marketing goals before any campaigns go live.

3. Transparent Proposals, Quotations & Pricing Structure

• Custom Quotations: Because every business has different marketing needs, we do not offer one-size-fits-all pricing. All pricing is custom-quoted based on the specific scope of work discussed during the discovery phase.
• Quotation Validity: Official quotations sent via email or WhatsApp are valid for exactly 7 days from the date of issuance.
• Agency Fees vs. Ad Spend: Our agency management fees are strictly separate from Advertising Spend. "Ad Spend" refers to the budget paid directly to platforms like Google or Meta to run the ads. DigitalGo charges a flat monthly management fee or a defined percentage of ad spend, which is explicitly stated in the contract.

4. Payment Terms & Schedules

• Monthly Retainers (SEO/Ads Management): Require 100% advance payment for the month ahead. Invoices are generated on the 1st of every month and are due within 3 days.
• One-Time Setup Fees: Any campaign or landing page setup fees require a 100% upfront payment before development begins.
• Accepted Methods: We accept secure payments via UPI (Google Pay, PhonePe, Paytm), direct Bank Transfer (NEFT/IMPS), and official payment gateway links.

5. Performance Expectations, Realities & Disclaimers

DigitalGo employs industry best practices, data-driven strategies, and professional marketing principles. However, digital marketing is subject to external market forces.

• No Guarantees on Specific Metrics: We do not (and legally cannot) guarantee specific numbers of sales, leads, or exact ROI, as these depend on factors outside our control (e.g., product pricing, market demand, competitor actions, and the client's sales team performance).
• Platform Algorithms: We are not liable for sudden drops in performance caused by unannounced algorithm updates by Google, Meta, or other third-party platforms.
• SEO Timelines: SEO is a long-term strategy. Clients acknowledge that significant organic ranking improvements typically take 3 to 6 months to materialize.

6. Client Account Access & Approvals

For campaign management, the client must grant DigitalGo appropriate administrative access to their existing ad accounts (Google Ads, Meta Business Manager) and website CMS. The client remains the sole owner of these accounts. DigitalGo will not create "hostage" accounts; all ad accounts are set up under the client's business details and billing information.

7. Intellectual Property & Ownership

• Ad Creatives & Copy: Upon full payment of monthly retainer fees, the client retains ownership of the specific ad creatives and copy produced during that month.
• Strategic Methodologies: The underlying marketing strategies, campaign structures, and proprietary methodologies developed by DigitalGo remain the intellectual property of DigitalGo.
• Portfolio Rights: DigitalGo reserves the right to display case studies and aggregated performance metrics in our agency portfolio for promotional purposes, ensuring sensitive client data is anonymized unless explicit permission is granted.

8. Limitation of Liability & Platform Suspensions

• DigitalGo shall not be held liable for any indirect, incidental, or consequential damages, including lost profits or lost data, arising from the use of our services.
• Account Suspensions: If a client's Google Ads or Meta Ads account is suspended due to the client's past actions, website compliance issues, or platform algorithmic errors, DigitalGo is not liable. We will assist in the appeal process, but the management fee remains payable for the time spent working on the account recovery.

9. Termination of Services

• Monthly Retainers: Either party may terminate a monthly marketing retainer by providing a 30-day written notice.
• Handover: Upon termination and settlement of all outstanding invoices, DigitalGo will gracefully hand over all final assets and revoke our access to the client's platforms.

10. Governing Law, Jurisdiction & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Gaya, Bihar, India.

11. Modification of Terms

DigitalGo reserves the right to update or modify these Terms of Service at any time without prior notice. Continued use of our services after any such changes constitutes your acceptance of the new Terms. The "Last Updated" date at the top of this page will reflect the most recent revisions.
